By
signing in the place provided below, you are agreeing to all of the following
terms and conditions:
1. We will try to evaluate your submission,
but we promise nothing else, except
as specifically provided below.
2. If we decide to make your content available
on the web, we will just post it. In
other words, you might not hear from us first. To that end, by submitting
your content, you are granting us, and our successors and assigns, the
irrevocable, perpetual non-exclusive right and license throughout the universe to publish it by any
means whatsoever now known or hereafter devised. Your sole consideration is the slight promotional benefits you
receive as a result of your content being chosen for publication on our
web properties. We will have no
obligation to provide any compensation to you of any kind whatsoever.(No
cash, Jack.)
3. If we decide not to make your content available
(it sucks), you won't hear from us, we will not provide you with the reasons
for our decision, and we will have no obligation to return the content
to you. We'll probably throw it
out or put it in a file and throw the file out.
4. Because we are in the business of developing
and marketing similar kinds of
entertainment content (other crap), and the disclosure of confidential
information to us could have an adverse impact on our own efforts (we're
paranoid), we will evaluate your submission only with your agreement that
your submission will not create any confidential or fiduciary relationship
between us. WE ARE NOT INTERESTED IN RECEIVING ACCESS TO
ANY INFORMATION THAT YOU CONSIDER TO BE CONFIDENTIAL, AND WE ARE NOT WILLING
TO UNDERTAKE ANY OBLIGATION TO TREAT YOUR CONTENT AS SECRET OR CONFIDENTIAL. Accordingly, you agree that we will have no
obligation to keep confidential any information or materials that you
disclose to us, and that you will not disclose to us any information or
materials
that you consider to be secret or confidential. You further agree that
no restrictive legends appearing in or on your content (other than copyright
and patent notices) will be effective against us.
5. You represent and warrant that: (a) you
are not under 18 years of age and are legally competent to enter into
this Agreement (If you are under
18, your
parents' or legal guardian's signatures are also required.); (b) you are
the sole author(s) of the content and have the full and exclusive right,
title
and interest in the content, including the right to submit it to us; (c)
your content does not infringe any copyright, trade secret or other intellectual
property right and does otherwise not defame, invade the privacy
of, infringe the right of publicity of, or violate other individual rights,
of another.
6. You agree that you will not mention or
use the fact that we are evaluating
your content in any promotional activity nor disclose to any other
person that we are evaluating your content. (Don't brag, it doesn't suit
you.)
7. This Agreement shall be construed and enforced
in accordance with the laws
of the State of California applicable to agreements between residents
of
California wholly executed and wholly performed therein. Notwithstanding
the
foregoing, any dispute, argument or controversy arising under this Agreement
or relating to your submission in any way whatsoever shall be settled
exclusively by arbitration under the rules of the American Arbitration
Association in San Francisco, California. (The "other" triple
A) Any action or proceeding brought by either party against the other
arising out of or related
to such arbitration or otherwise related to this Agreement shall be brought
only in a state or federal court of competent jurisdiction located in
the County of San Francisco, California, and the parties hereby consent
to
the in personam jurisdiction and venue of said courts.
8. Though we may talk or correspond with you
regarding your submission, this submission agreement is our entire agreement
with you relating to your submission,
and it may not be changed except in writing, agreed to by us.
